A shared understanding.

1. Using Koan

Koan is software for ecommerce brands, marketers and agencies. You must be legally able to enter into this agreement, provide accurate account information and keep your account secure. Workspace owners are responsible for their team’s access and activity. Client reviewers receiving an approval link do not take a paid team seat unless they also work inside the workspace.

Features depend on your plan, permissions and connected accounts. Koan does not guarantee advertising results, revenue, approval by an advertising platform or the availability of a third-party integration.

2. Plans, payment and renewal

The price, currency, billing interval and included brand, team and AI allowances are shown in your plan and checkout or written order. Published standard monthly prices are in USD. Applicable taxes are additional unless the purchase explicitly states they are included.

A paid subscription renews automatically at the end of each billing period until cancelled. You authorize our payment processor, Stripe, to charge your selected payment method for the agreed subscription and applicable taxes. Creating a workspace request or taking our survey does not start a subscription or authorize a charge.

We will communicate a change to your subscription price before it takes effect. You may cancel before the next renewal if you do not accept the new price. Enterprise arrangements, discounts and trials apply only when expressly offered and described in your order. A signed agreement takes precedence over conflicting standard terms.

3. Cancellation and refunds

You can cancel through the billing controls available in your workspace or contact jessewatts99@gmail.com for assistance. Standard monthly cancellation takes effect at the end of your current paid billing period. Access continues through that period, and the subscription will not renew.

We do not automatically refund unused time, unused AI credits or partial billing periods. This does not limit refunds or other remedies required by applicable law. Contact us about an incorrect charge or a service issue so we can review it; duplicate or erroneous charges will be corrected.

If payment fails, we may ask you to update your payment details and may restrict paid features or suspend access while the balance remains unpaid. Cancellation does not remove a legitimate outstanding balance. Cancellation and deletion are separate requests.

4. AI credits and plan capacity

AI credits are a workspace usage allowance, not money or a stored-value balance. AI copy, analysis, images and video can use different amounts depending on the task, model, duration and output. The applicable allowance and usage rates must be disclosed before purchase and before a chargeable AI task is submitted.

Standard monthly credits reset for each subscription billing period; unused included credits do not roll over unless your order expressly says otherwise. Uploading existing assets, manual editing and client approval reviews do not use AI generation credits. A paid subscription is still required to access the features included in your plan.

Reaching an allowance may require waiting for the next reset or agreeing to additional capacity. Koan will not automatically bill AI overage fees without your agreement. Additional credits or capacity, if offered, have their own disclosed price and conditions. Plan changes take effect on the date and with the charges disclosed when you agree to the change.

5. Your content and client permissions

You retain ownership of the content you submit. You give Koan the limited permission needed to host, process, transform and transmit that content to provide the features and actions you request. You must have permission to use client brands, product photographs, trademarks, personal information and other materials you upload or connect.

You control who has access to your workspace and which review links you share. Anyone who receives an accessible approval link may be able to view the material it contains; share links only with intended recipients. An approval records a reviewer’s decision and does not independently establish rights clearance, compliance or permission to spend advertising funds.

6. AI outputs and advertising decisions

AI-generated text, images, video, research and recommendations can be inaccurate, incomplete or unsuitable and may resemble other outputs. Review them for factual accuracy, product fidelity, intellectual property rights and platform requirements before use. We do not promise that generated work is exclusive or eligible for copyright protection.

You remain responsible for campaign settings, budgets, targeting, destinations, claims and publishing decisions. Review ads before activation. Analytics can differ between platforms because of attribution, reporting windows and data availability.

7. Connected services

Services you connect or use through Koan, including advertising platforms, stores, email tools and AI providers, have their own terms and policies. You authorize Koan to access the permissions you grant and perform the actions you request. Their fees, advertising spend, restrictions and account decisions are separate from your Koan subscription.

Third-party services may change, become unavailable or restrict an action. Disconnecting a service stops future access through that connection but does not automatically delete material previously imported or published to another platform.

8. Acceptable use and service changes

Do not use Koan for unlawful activity, infringement, unauthorized access, abusive or deceptive content, or actions that violate connected-platform rules. Do not bypass usage limits, access another customer’s data or interfere with the service. We may restrict access when reasonably necessary to address misuse, security risks or a legal obligation.

We may improve or change features and occasionally interrupt service for maintenance or problems. We do not promise uninterrupted or error-free service. To the extent permitted by law, the service is provided on an as-available basis without additional implied warranties.

9. Privacy and ending your use

Our privacy policy explains how we handle information. Export the materials you need before ending your use. You can request deletion using the app’s deletion instructions or by contacting jessewatts99@gmail.com. Some records may be retained for legal, accounting or security purposes, as described in our privacy notices.

10. Applicable law and changes to these terms

These terms are governed by the laws of British Columbia and the applicable federal laws of Canada, subject to any mandatory protections that apply where you live. Nothing in these terms removes rights that cannot lawfully be excluded.

We may update these terms and will identify the effective date. Material changes to paid subscription terms will be communicated before they apply. Changes do not retroactively change an agreed charge or remove a right you already have.
